Commercial agreement governing website access, custom software engineering engagements, and multi-tenant SaaS licensing.
Legally Binding Agreement
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Client", or "Subscriber") and Thiveo Technologies Private Limited ("Thiveo", "we", "our", or "us"), incorporated under the laws of the Republic of India. By accessing https://www.thiveo.com, retaining our engineering services, or subscribing to our software applications including Odentra and Inventra, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
1. Eligibility & Account Security
By using our services, you represent and warrant that you are at least 18 years old and possess the legal authority to enter into this agreement on behalf of yourself or the business entity you represent.
- You are responsible for maintaining the confidentiality of any administrative login credentials and multi-tenant API tokens.
- You agree to immediately notify Thiveo at security@thiveo.com of any unauthorized access or security breach regarding your account.
- Thiveo is not liable for losses caused by unauthorized credential use prior to notification.
2. Commercial Services & SaaS Subscriptions
A. Bespoke Software & AI Engineering
Custom software, AI agent integrations, cloud migrations, and digital commerce projects are governed by individual Statements of Work (SOW) or Service Agreements executed between Thiveo and the Client. In the event of a conflict between these Terms and an executed SOW, the terms of the SOW shall prevail for that specific engagement.
B. SaaS Platforms (Odentra & Inventra)
Thiveo grants Subscribers a limited, non-exclusive, non-transferable, revocable license to access and use our proprietary cloud platforms during their active subscription period. Subscriptions are billed on a recurring monthly or annual basis as selected during registration.
C. 14-Day Free Trial Terms
We offer a 14-day free trial for Odentra and Inventra to eligible businesses. Free trials require no credit card upfront and automatically expire at the conclusion of the 14-day period unless upgraded to a paid commercial license.
D. Taxes & GST Compliance
All fees are exclusive of applicable Indian Goods and Services Tax (GST) or cross-border withholding taxes. Clients located in India will be issued standard GST-compliant tax invoices with applicable GSTIN details.

4. Intellectual Property Rights
All rights, titles, and interests in and to thiveo.com, the Thiveo brand, the Odentra platform, the Inventra platform, logos, graphics, software code, algorithms, and documentation are and remain the exclusive intellectual property of Thiveo Technologies Private Limited.
Clients retain full ownership of their proprietary business data uploaded to our platforms. Thiveo does not claim any ownership rights over client-uploaded health records, patient notes, or inventory catalogs.
5. Service Availability & Warranties Disclaimer
We strive to maintain a 99.9% uptime SLA for hosted SaaS services. However, except as explicitly warranted in an executed SOW, all services and website contents are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability or fitness for a particular purpose.
6. Limitation of Liability
To the maximum extent permitted by applicable Indian law (including the Indian Contract Act, 1872):
- In no event shall Thiveo Technologies Private Limited, its directors, officers, employees, or affiliates be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including damages for loss of profits, goodwill, data, or business interruption.
- Thiveo’s total cumulative liability arising out of or related to these Terms or the use of our services shall not exceed the total amount paid by the Client to Thiveo in the twelve (12) months preceding the claim, or INR 10,000 (ten thousand Indian Rupees), whichever is lower.
7. Governing Law & Exclusive Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of India, without giving effect to any conflict of law principles.
Arbitration: Any dispute, controversy, or claim arising out of or relating to this contract shall first be settled through good-faith mutual negotiations within thirty (30) days. Failing amicable resolution, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Tamil Nadu, India, and the language shall be English.
Exclusive Court Jurisdiction: Subject to the arbitration clause above, the competent courts located in Tamil Nadu, India shall have exclusive jurisdiction over all matters arising out of these Terms.
8. Termination & Cancellation
Subscribers may cancel their SaaS plans at any time via their administrative billing settings. Cancellation takes effect at the end of the current billing cycle. Upon account termination, users have thirty (30) days to request a complete CSV/JSON export of their tenant data, following which data is scheduled for secure cryptographic erasure in compliance with our Privacy Policy.
